Personal License Agreement
1. Introduction
By purchasing or downloading any digital content from SLY VISION you agree to the terms and conditions outlined below. These terms apply to all digital files provided through this gallery.
2. Pricing and Payment
Printable License: High-resolution files suitable for printing are available CAD per image.
Currency: All prices are in Canadian Dollars (CAD).
Taxes: Sales tax (GST/HST/PST) will be applied at checkout based on your province of residence.
3. Digital License Grant (Personal Use Only)
When you download a file (whether free or paid), SLY VISION grants you a non-exclusive, non-transferable license for Personal Use only.
You may: Print the photos for your home, share them on your personal social media profiles, and use them for personal gifts (e.g., photo albums for family).
You may not: Use the photos for commercial purposes, sell the files to third parties, enter them into contests, or use them for advertising/promotion without written consent.
4. Copyright and Ownership
In accordance with the Canadian Copyright Act, SLY VISION remains the sole owner of the copyright for all images. This purchase/download is a license to use the images, not a transfer of ownership.
5. Refunds and Returns
Due to the nature of digital products, all sales are final. Once a digital file has been downloaded or the link has been delivered to your email, we cannot offer a refund or exchange. Please ensure you have selected the correct image before completing your purchase.
6. Image Integrity (No Alterations)
We take pride in our professional editing. You agree not to edit, crop (beyond standard printing needs), or apply filters to the images. If you require a specific edit or a different crop, please contact us directly.
7. Print Quality Disclaimer
While we provide high-resolution files for printable license, SLY VISION is not responsible for the print quality, color accuracy, or cropping errors of third-party printing labs (e.g., Walmart, Costco, or online consumer labs). For best results, we recommend using our integrated professional lab within the store.
8. Governing Law
These terms are governed by the laws of the province of Ontario and the federal laws of Canada.
Commercial License Agreement
1. The Parties
This agreement is between SLY VISION (the "Licensor") and (Business Name) (the "Licensee").
2. Grant of Commercial License:
The Licensor grants the Licensee a non-exclusive, non-transferable license to use the digital images ("The Work") specifically for the following commercial purposes:
Permitted Media: [e.g., Website, social media, Printed Marketing Brochures, Email Campaigns].
Territory: (e.g., Canada Only / North America / Worldwide).
Duration: (e.g., 1 Years from date of purchase / Perpetual).
3. Fees and Taxes
The Licensee agrees to pay the Commercial Licensing Fee per image.
In accordance with Canadian tax law, GST/HST will be applied based on the Licensee's province of operation.
4. Moral Rights (Choose one option)
[Option A - Keep Rights] The Licensor retains all Moral Rights. Attribution (Photo Credit) is required for all editorial uses.
[Option B - Waived] The Licensor hereby waives their Moral Rights in favor of the Licensee to allow for flexible commercial use, including cropping and integration into advertising layouts.
5. Restrictions
The Licensee may not:
Resell, sublicense, or redistribute the images to third parties or stock agencies.
Use the images in any way that is defamatory or illegal under Canadian law.
Use the images for political endorsement or sensitive subjects without prior written consent.
6. Ownership
The Licensor retains full Copyright ownership under the Copyright Act of Canada. This is a license to use the images, not a transfer of title.
7. Indemnification
The Licensee agrees to indemnify and hold the Licensor harmless from any claims, damages, or legal fees arising from the Licensee’s specific use of the images (e.g., if the business uses the photo in an ad that violates a trade regulation).
8. Governing Law
This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada.
